CGV: Terms & Conditions

​These Terms & Conditions (the “Terms”) govern the services provided by Aurélie Pierre, Entrepreneur individuel (micro-entreprise), registered in Paris, France under SIRET number 10258544500012, operating under the commercial name Lily Pierre (hereinafter referred to as the “Consultant”).

The individual or legal entity purchasing services shall be referred to as the “Client”.

1. Scope of Services

The Consultant provides professional coaching and consulting services, including but not limited to:

  • Individual coaching & consulting

  • Executive coaching & consulting

  • Career and expatriate transition support

  • Group coaching programs

  • Mentoring

  • HR advisory services

  • Organizational consulting

 

Services are typically delivered in structured packages over a defined period.

2. Nature of Services – No Therapy Disclaimer

The Client acknowledges and agrees that:

  • The services provided are professional coaching and consulting services.

  • The Consultant is not a licensed psychologist, psychotherapist, psychiatrist, or medical professional.

  • The services do not constitute psychotherapy, psychiatric treatment, crisis intervention, medical care, or legal advice.

 

Coaching focuses on professional development, reflection, strategic clarity and personal growth.

If the Client is experiencing mental health distress, depression, trauma, suicidal ideation, or psychological crisis, they are strongly encouraged to seek support from a licensed healthcare professional.

3. Client Responsibility

The Client acknowledges that:

  • Coaching and consulting are collaborative processes.

  • Results depend on the Client’s own engagement and implementation.

  • No specific outcome or guarantee is provided by the Consultant.

 

The Client remains fully responsible for all decisions and actions taken.

4. Contract Formation

A binding agreement is formed once:

  • A written proposal or package is accepted;

  • The Strategic Consulting Agreement is signed;

  • Payment terms are validated.

5. Fees & VAT

All prices are expressed in Euros (€) unless otherwise stated.

If applicable under the French micro-entreprise regime:

VAT not applicable – Article 293 B of the French General Tax Code.

For EU B2B clients, VAT treatment shall follow applicable European regulations.

6. Payment Terms

Unless otherwise specified:

  • Payment of the first installment is required in order to confirm the engagement and reserve the consulting schedule.

  • Consulting sessions will only begin once the first payment has been received. Installment plans may be agreed for structured packages.

  • Example structure:

    -First installment before the first session

    -Second installment after session 4

    -Final installment after session 8

  • Late payments and/or failure to pay installments may result in suspension of sessions.

  • Late payments may result in suspension of services.

 

For B2B Clients:

Late payment penalties may apply in accordance with Articles L441-10 and D441-5 of the French Commercial Code.
A fixed recovery fee of €40 may also apply.

7. Cancellation & Rescheduling

Individual sessions may be rescheduled with at least 48 hours’ notice.
Sessions cancelled or rescheduled with less than 48 hours notice will be considered delivered and therefore non-refundable.

Packages are non-refundable once commenced, unless otherwise agreed in writing.

8. Right of Withdrawal (B2C – EU Law)

Private individual Clients residing in the EU benefit from a 14-day withdrawal period following signature of the agreement, unless:

  • The service has begun with express consent;

  • The Client has waived this right explicitly.

9. Confidentiality

All information disclosed during sessions shall remain confidential, except:

  • Where disclosure is required by law;

  • Where there is a serious risk of harm to the Client or others.

 

For corporate engagements, confidentiality terms may be further defined in a separate agreement.

10. Intellectual Property

All materials, tools, frameworks and documents provided remain the intellectual property of the Consultant unless otherwise agreed.

They may not be reproduced, distributed or used commercially without prior written consent.

 

11. Limitation of Liability

The Consultant shall not be liable for:

  • Decisions taken by the Client;

  • Business or personal outcomes;

  • Indirect or consequential damages.

 

In any event, the Consultant’s liability shall be limited to the total amount paid by the Client for the services concerned.

12. Force Majeure

The Consultant shall not be held liable for delays or failure to perform due to force majeure events.

 

13. Governing Law & Jurisdiction

These Terms are governed by French law.

Any dispute shall fall under the exclusive jurisdiction of the competent courts of Paris, France.
